This page describes the Terms of Service (“Terms”) that govern your use of the Babepeeks Premium Subscription Service (the “Premium Service”), offered by HJG MEDIA LTD. (“HJG MEDIA LTD,” “us,” or “we”). In these Terms, the “Site” refers to www.verotel.com and partner sites using the Premium Service.
1. GENERAL TERMS
1.1 By using this Site, you agree to be bound by these Terms. Please do not use this Site if you do not agree with these Terms.
1.2 We may amend these Terms from time to time. When we do so we will update Last Revision Date at the end of this document. Your continued use of the Premium Service constitutes your agreement to the revised Terms.
1.3 We may change, suspend or discontinue any aspect of the Premium Service at any time.
1.4 If you find any aspect of the Premium Service or the Terms unacceptable you may cancel your subscription.
2. SUBSCRIPTION SERVICES
2.1 The Premium Service offers the ability to purchase a subscription which provides access to sign in to participating websites to view a premium experience without display advertisements (a “Subscription”).
2.2 You will not be charged for any Subscription unless you have agreed to pay for a Subscription. If at any time the Subscription fees change you will be given advance notice of such changes.
2.3 You have the option to select a monthly or annual Subscription, which automatically renews on a monthly or annual basis, respectively.
2.4 Your Subscription may start with a free trial. The free trial period lasts for 30 days, or as otherwise specified when you subscribe. Free trials are for new members only. We reserve the right to determine your free trial eligibility.
2.5 Unless you cancel your subscription before the free trial period ends, billing will begin automatically when your free trial ends. You will not receive a notice when your free trial period ends.
3. USE OF THE SERVICE
3.1 HJG MEDIA LTD grants you a limited, revocable, non-exclusive, non-assignable, non-sublicenseable right to access and use the Premium Service as it is intended to be used and in accordance with these Terms and applicable law. We grant you no other rights, implied or otherwise.
3.2 You may not use this Site or the Premium Service for any unlawful purpose, or for any other purpose that is prohibited by these Terms. You agree to comply with all local laws in your jurisdiction, including but not limited to laws regarding online conduct, payment of taxes, acceptable content and intellectual property.
3.3 You may not attempt to circumvent any restriction imposed on your use of the Premium Service, or attempt to disable, damage, reverse-engineer or gain unauthorized access to the Premium Service.
3.4 Each subscription is for a single user only. You are not allowed to share or provide your login credentials to another person. Failure to comply constitutes a breach of your obligations under these Terms and may result in the termination of your Subscription.
4. BILLING AUTHORIZATION
4.1 By subscribing to the Premium Service you confirm that you are at least 20 years of age and that all information you have provided is accurate, that you are the authorized holder of the credit card, and that you have read and agree to be legally bound by these Terms.
5. TERMINATION
5.1 You may you cancel your Subscription at any time. If you cancel your subscription the following billing period will not be automatically billed. Your access to the Premium Service will be terminated when the current billing period ends.
5.2 You agree that HJG MEDIA LTD may, at its sole discretion and without prior notice, terminate your Subscription to the Premium Service if it determines that you have violated these Terms or other agreements associated with your use of the Premium Service.
6. DISCLAIMER
6.1 HJG MEDIA LTD AND ITS SUBSIDIARIES, DIRECTORS, OFFICERS, EMPLOYEES, STOCKHOLDERS, AND LICENSORS (COLLECTIVELY, THE “HJG MEDIA LTD AFFILIATES”) EXPRESSLY DISCLAIM ALL REPRESENTATIONS, WARRANTIES, AND CONDITIONS OF ANY KIND WITH RESPECT TO THIS SITE OR THE CONTENT OFFERED THROUGH THIS SITE, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE OR ANY WARRANTY OR CONDITION ARISING BY USAGE OF TRADE, COURSE OF DEALING OR COURSE OF PERFORMANCE.
6.2 ANY MATERIAL, INFORMATION, OR DATA DOWNLOADED, VIEWED, SHARED, OR OTHERWISE ACCESSED THROUGH THE SERVICE IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULT FROM THE DOWNLOADING, VIEWING, SHARING, OR OTHERWISE ACCESSING OF SUCH MATERIAL. NO ADVICE, REPRESENTATION OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM HJG MEDIA LTD OR THROUGH THIS SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
7. LIMITATION OF LIABILITY
7.1 YOU EXPRESSLY UNDERSTAND AND AGREE THAT UNDER NO CIRCUMSTANCES WILL HJG MEDIA LTD, THE HJG MEDIA LTD AFFILIATES, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, SUPPLIERS OR SUCCESSORS BE LIABLE TO ANY PERSON FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES RELATING TO THE CONTENT OFFERED ON THIS SITE OR RESULTING FROM ACCESS TO OR OTHER USE OF THIS SITE OR RELIANCE ON ANY INFORMATION PRESENTED ON THIS SITE, EVEN IF SUCH HJG MEDIA LTD AFFILIATE IS INFORMED IN ADVANCE OF THE POSSIBILITY OF SUCH DAMAGES AND NOT WITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. THE HJG MEDIA LTD AFFILIATES’ LIABILITY UNDER THESE TERMS WILL BE LIMITED TO THE LESSER OF: (I) FIFTY DOLLARS ($50); (II) THE DOLLAR VALUE OF ALL VEROTEL Premium TRANSACTIONS YOU INITIATE WITHIN THE SIX-MONTH PERIOD PRIOR TO THE DATE THE FIRST CLAIM AROSE. TO THE EXTENT THE LIMITATIONS ABOVE ARE NOT ALLOWED BY APPLICABLE LAW, HJG MEDIA LTD AFFILIATES’ LIABILITY UNDER THESE TERMS WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
8. INDEMNIFICATION
8.1 You will indemnify and hold the HJG MEDIA LTD Affiliates and each of their officers, directors, members, managers, employees, agents, affiliates, suppliers, successors and assignees harmless from and against any and all losses, damages, judgments, liabilities and costs (including reasonable attorneys’ fees) incurred by any HJG MEDIA LTD Affiliates in connection with any claim arising out of, based on, or in connection with your access to or other use of this Site. Say HJG MEDIA LTD reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.
9. MISCELLANEOUS
9.1 ENTIRE AGREEMENT
These Terms constitute the whole agreement between you and HJG MEDIA LTD with respect to this Site and the Premium Service, and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and us with respect to this Site and the Premium Service.
9.2 GOVERNING LAW
You agree that all matters relating to your access to or use of the Site and/or the Premium Service, including all disputes, will be governed by the laws of the United States and by the laws of the State of California without regard to its conflicts of laws provisions. You agree to the exclusive personal jurisdiction by and exclusive venue in the State and Federal courts in San Francisco, California for all disputes arising out of your use of the Site and these Terms, and waive any objection to such jurisdiction or venue.
9.3 SEVERABILITY
If any portion of these Terms is held to be illegal, invalid, or unenforceable, such illegality, invalidity, or unenforceability shall apply only to such provision and shall not in any manner affect or render illegal, invalid, or unenforceable any other provision of these Terms, and that provision and these Terms generally shall be reformed, construed and enforced so as to most nearly give lawful effect to the intent of the parties expressed in these Terms.

9.5 FORCE MAJEURE
HJG MEDIA LTD Affiliates shall not be liable for any failure or delay in performance under these Terms which might be due to strikes, shortages, riots, insurrection, fires, flood, storm, explosion, acts of God, war, government action, inability to obtain delivery of parts, supplies or labor, labor conditions, earthquakes, acts of terrorism, or any other cause which is beyond the reasonable control of such party (“Force Majeure Events”).
9.6 ASSIGNMENT
You may not assign or otherwise transfer any of your rights or obligations under these Terms without the prior written consent of HJG MEDIA LTD. HJG MEDIA LTD may assign these Terms, in whole or in part, to any third party, without notice to or consent from you. Any purported or attempted assignment or other transfer or delegation in violation of this Section shall be null and void.

Profiles that not fulfill the agreed demands of having an profile can be cancelled or deleted at any time.
